Hayula Ink Terms of Use
These terms are an agreement between you and hayula, LLC (“Hayula”, “we”) for the Hayula Ink app. You accept them in the app after you sign in, by confirming each of their main points; we keep a record of the version you accepted, when, and in which language. You must be at least 13 years old to use Hayula Ink, and 18 or the age of majority where you live to register digital originals (section 6). They are written to be read, so they are short.
1. Your work is yours
You retain the rights in your original drawings, writing and other creative work. We claim no ownership of your work. If you choose an online feature, you grant us only the permission needed to store, process and transmit the content you submit to provide that feature, including publishing the cover and metadata you approve for a digital original. Rights in third-party materials and the app’s supplied components remain with their respective owners (section 2). Hayula exists so that people can earn from their creativity with their ownership protected, and these terms follow that purpose.
2. App licence and intellectual property
We grant you a personal, non-transferable licence to use Hayula Ink on Apple devices you own or control, subject to these terms and the applicable App Store usage rules. All intellectual property rights in the app and materials supplied with it remain with Hayula or their respective licensors. This includes, to the extent protected by applicable law, source and object code; drawing, rendering and other software engines; original implementations of algorithms and tools; brush files, brush tips, textures, presets and asset libraries; interface designs, icons, artwork, animations and text; documentation; and Hayula names, logos and branding. Buying or subscribing to the app grants permission to use it, not ownership of these components.
This protection also covers Hayula’s proprietary HYLE technology, including its original software implementation, encoding and decoding code, and original specifications and documentation relating to the file format, together with any protectable elements of its file structures. These terms do not assert exclusive ownership of abstract ideas, general methods, publicly available standards or elements that applicable law does not protect, and do not imply that any patent or trademark registration has been granted.
Except as necessary for authorised use of the app, or as expressly permitted by Hayula in writing or by an applicable licence, you must not extract, copy, adapt, distribute, share, sell, sublicense, repackage or incorporate these protected components into another app, product or service, whether free or paid. You must not present them as your own, remove ownership notices, bypass protections to obtain them, or decompile, disassemble or reverse engineer the app. These restrictions apply only to the extent permitted by applicable law, including any mandatory exceptions for interoperability, and do not override rights granted by applicable third-party or open-source licences. Hayula reserves the right to seek remedies available under applicable law for infringement of rights it owns or is entitled to enforce.
You may use the app’s brushes and tools to create, save, export, publish, share and sell your own drawings and books, including sharing your own HYLE project files through supported app features. Your original artwork and independently created brushes remain yours. Ordinary brush marks in your artwork and components embedded by the app as part of a supported project export are permitted; this does not authorise extracting or redistributing Hayula’s underlying supplied assets as standalone resources or for reuse in another product.
3. Your Hayula account
- One account, one username and one PIN code are shared by every Hayula app. You are responsible for what happens under your account.
- Sign-in is through Apple or Google. Keep those accounts secure; we never ask for their passwords.
- Your PIN code is an identity code, not a password. Treat it like a public handle.
- You can delete your account at any time from Settings. Deletion is permanent and applies across all Hayula apps.
4. The Hayula rules
These rules apply in every Hayula app:
- Create and share only what you made or have the right to use.
- No harassment, hate, threats, or sexual content involving minors, anywhere in Hayula.
- No attempts to break, overload or misuse the service, other people’s accounts or the Hayula system.
Content that breaks these rules is removed, and the account responsible can be suspended or closed.
5. Subscription
- Hayula Ink is used with an auto-renewing monthly subscription, sold by Apple through the App Store. It includes every drawing tool in the app and up to five digital originals (section 6) each month, drawings or books as you choose. Without an active subscription you can still open and export your saved drawings and books, but you cannot edit them, start new ones or register digital originals. The price, the billing period and any introductory offer are shown in the app and on the App Store before you buy, in your local currency.
- The app checks your subscription with Apple, including through Hayula’s server verification service in supported versions. One subscription serves one Hayula account: it stays with the Hayula account it was bought with, or the first one that uses it, and cannot be used by another account.
- Payment is charged to your Apple account when you confirm the purchase. The subscription renews automatically at the standard monthly price unless you cancel at least 24 hours before the end of the current period.
- You manage or cancel it in your Apple account settings. Refunds are handled by Apple under the App Store terms.
- Where an introductory price applies, it is for new subscribers and for the stated number of months only; afterwards the standard price applies.
- The five-original allowance resets each calendar month in UTC, separately from your subscription billing date. Unused allowance does not carry over. Pending registrations reserve allowance; a final minting failure releases it.
- Apple’s standard Licensed Application End User License Agreement applies alongside these terms. Where they conflict, these terms apply to the extent Apple’s agreement allows.
6. Digital originals (NFT)
- You can register a drawing or a book you made as a digital original. The app uploads its cover image and its HYLE file; after a one-hour waiting period, minting is scheduled to create a token on the Base blockchain, held in a wallet linked to your Hayula account’s email and recorded with your PIN code. Until it is minted you can change its title and cover. Each new original asks you to confirm these points before anything is uploaded.
- A digital original records a registration and a file fingerprint; it is not independent proof of authorship or a copyright registration. It is not an investment, a security, a currency, a payment instrument or any other financial product, and Hayula makes no promise about its value, price, liquidity, resale or profit. Do not subscribe or register originals expecting a financial return.
- A token records that you registered the work. It does not transfer your copyright, which stays with you (section 1).
- Register only work you made or have the right to use (section 4); you alone are responsible for the work you register and for its title and cover. Once minted, blockchain records are public and permanent: neither you nor we can edit or delete them.
- The wallet that holds your originals is provided and managed by Crossmint, a third-party service, for your Hayula account’s email. Blockchains, wallets, marketplaces and other third-party services are outside our control; they may fail, change their rules or stop, and Hayula is not responsible for them, for their fees, or for any loss of access to an original.
- A completed blockchain mint cannot be reversed. This does not remove any refund or other consumer rights you have under applicable law or Apple’s terms.
- Digital originals are only for people aged 18 or over, or the age of majority where they live. You are responsible for complying with the laws of your country, including any rules about digital assets, and for any taxes; do not register originals where the law forbids it.
- Minting may be delayed by processing or third-party availability. If it fails finally, it does not count toward your monthly allowance and you can register the work again. After the app synchronises a successful mint, the registered work opens for reading and export, not editing; its registered fingerprint remains fixed.
- Exporting images and PDFs has no limit; the monthly allowance applies to digital originals only.
7. Local data
Your books and drawings are stored on your iPad, not on our servers, except the digital originals you choose to register. If more than one Hayula account signs in on the same iPad, each account’s works are kept apart, and the app shows only the signed-in account’s works. Keep your own backups; deleting the app deletes its data, and we cannot restore it.
8. Changes to the app and these terms
Hayula is released in stages. Features may be added, changed or removed between versions. When these terms change in a way that matters, we update the date at the top and the app asks you to accept the new version before you continue.
9. Disclaimer and limitation
The app and digital originals are provided “as is” and “as available”. To the fullest extent permitted by law, Hayula disclaims all warranties and is not liable for indirect, incidental, special or consequential losses, for the value of any digital original, for third-party services, or for loss of data you did not back up. Hayula’s total liability for any claim is limited to the amount you paid for Hayula Ink in the 12 months before the claim. You agree to indemnify Hayula against claims arising from your content or from your breach of these terms. Nothing in these terms limits liability that cannot be limited by law.
10. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules, unless the mandatory law of your country of residence says otherwise. If a translation of these terms differs from this English version, the English version prevails.
